17人力には抵抗できない要素:

水害、火災(zāi)、地震、干ばつ、戦爭(zhēng)または協(xié)議の當(dāng)事者が予見(jiàn)、制御、回避、克服できないその他の事件によって、本契約を全部または一部履行できなくなりました。しかし、不可抗力事件の影響を受けた方はできるだけ早く発生した事件を相手方に通知し、不可抗力事件発生15日間以內(nèi)に関連機(jī)関が発行した不可抗力事件の証明を相手方に郵送しなければなりません。

Force Majure:

　　Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.

18仲裁する:

協(xié)議を履行する過(guò)程において、紛爭(zhēng)が発生した場(chǎng)合、雙方は友好的に協(xié)議し解決しなければならない。友好協(xié)議を通じて合意に至らなかった場(chǎng)合、中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)の対外貿(mào)易仲裁委員會(huì)に提出し、當(dāng)該會(huì)の仲裁手続により暫定規(guī)定により仲裁を行う。同委員會(huì)は最終回を決定し、雙方に拘束力がある。仲裁費(fèi)用は、別途規(guī)定がある場(chǎng)合を除き、敗訴側(cè)が負(fù)擔(dān)する。

アービトレート

　　All disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.
